End User License Agreement

Terms governing the SPECTER SDR software license.

This End User License Agreement ("Agreement") governs your use of the SPECTER SDR software application and its associated documentation (collectively, "SPECTER SDR" or the "Software"), published by SPECTER ("Licensor," "we," "us"). By purchasing a license key, installing, activating, or using the Software, you ("Licensee," "you") agree to this Agreement. If you do not agree, do not install or use the Software.

1. Grant of license

Upon purchase and activation of a valid license key, Licensor grants you a personal, non-exclusive, non-transferable, revocable license to install and use one copy of SPECTER SDR on one computer for the term of this Agreement.

This is a license, not a sale. Licensor retains all right, title, and interest in and to the Software, including its source code, object code, interface, designs, documentation, updates, and derivative works.

2. Personal and non-commercial use

Your license covers personal, hobbyist, educational, and other non-commercial use of SPECTER SDR, including:

In short: use it, record with it, and share what you capture for personal purposes. A separate agreement is required when SPECTER SDR becomes part of a paid service, sponsored engagement, or commercial production.

3. Commercial use

"Commercial Use" means use of SPECTER SDR in connection with a business, paid service, or for-profit production, including:

Commercial Use requires a separate written Commercial License Agreement from Licensor before that use begins. Requests may be submitted through support.

4. Separate products and license keys

SPECTER SDR and SPECTER Imaging are separately licensed applications. An SSDR key activates only SPECTER SDR. An SPTR key activates only SPECTER Imaging. A SPECTER Complete purchase provides one license key for each application, and each application remains governed by its applicable license agreement.

5. Device activation and license replacement

A SPECTER SDR license key is intended for one person and one activated computer at a time. The key may be bound to a machine identifier for activation and enforcement. You may not share, publish, transfer, sell, or reuse the key on multiple computers unless Licensor gives written permission.

Support may issue a replacement key after reasonable verification of the original purchase and the replacement circumstances. A replaced, refunded, charged-back, revoked, or fraudulently obtained key may be disabled.

7. Lawful radio use

The Software is a receive, analysis, recording, and visualization tool. It does not grant authority to receive, decode, record, retain, use, or publish any communication. Radio, privacy, wiretap, communications, aviation, and recording laws vary by jurisdiction and frequency band.

You are solely responsible for determining which signals and communications you may lawfully receive, decode, record, retain, or disclose. You must not use the Software to intercept or distribute private, restricted, encrypted, protected, or otherwise unlawful communications. You are also responsible for obtaining any consent, license, permit, or authorization required for your use.

8. Your content

Recordings, screenshots, reports, spectrum captures, session files, annotations, and other content you create through your lawful use of SPECTER SDR ("Your Content") belong to you. Licensor claims no ownership of Your Content.

You are responsible for Your Content, including how it is captured, stored, secured, shared, and used. You represent that your collection and use of Your Content complies with applicable law and does not infringe the rights of another person.

9. Third-party components, hardware, and services

The Software may interoperate with third-party receivers, drivers, antennas, tools, maps, data sources, networks, or services. Those products and services are governed by their providers' terms and licenses. Licensor does not grant rights to third-party products and is not responsible for third-party terms, conduct, content, security, or continued availability.

Open-source components distributed with the Software remain governed by their applicable licenses. Required notices, license texts, provenance information, and corresponding source materials are included with the Software where applicable. If an open-source license conflicts with this Agreement for that component, the open-source license controls for that component only.

10. Ownership and intellectual property

SPECTER SDR, SPECTER names and marks, the Software, its interface, designs, documentation, and all related intellectual property are owned by Licensor or its licensors and are protected by applicable intellectual-property laws. No ownership interest is transferred to you. Rights not expressly granted in this Agreement are reserved.

11. Updates and changes

Licensor may provide updates, fixes, revisions, or new versions of the Software. Updates may be subject to this Agreement or additional terms presented with the update. Your license entitles you only to the updates described at the time of purchase.

Licensor may revise this Agreement. Material revisions will be posted at this URL with a new effective date. Continued use after a revised Agreement becomes effective constitutes acceptance to the extent permitted by law.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. LICENSOR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, QUIET ENJOYMENT, AND RESULTS.

The Software is an analysis instrument. Information, detections, classifications, maps, bearings, alerts, recordings, and reports produced by the Software require operator review and must not be treated as guaranteed, certified, or independently verified conclusions.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, RECORDINGS, SIGNALS, PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR EQUIPMENT, ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECTER SDR LICENSE GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain warranty exclusions or liability limitations. In those jurisdictions, the exclusions and limitations apply only to the maximum extent permitted by law.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Licensor and its suppliers from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Software, your breach of this Agreement, your Commercial Use without authorization, or your violation of another person's rights.

15. Term and termination

This Agreement begins when you first purchase, install, activate, or use the Software and continues until terminated. You may terminate it by permanently ceasing use and uninstalling the Software.

Licensor may suspend a key or terminate this Agreement if you materially breach its terms, use a fraudulent or unauthorized key, obtain a refund or chargeback, or misuse the activation system. Upon termination, your license ends and you must stop using and uninstall the Software. Sections that by their nature should survive termination, including ownership, restrictions, disclaimers, liability limitations, indemnification, and general terms, will survive.

16. General terms

This Agreement is the entire agreement between you and Licensor regarding the Software and replaces prior or contemporaneous understandings about the same subject. A failure to enforce a provision is not a waiver. If a provision is held unenforceable, it will be enforced to the greatest extent permitted and the remaining provisions will remain effective.

You may not assign or transfer this Agreement or your license without Licensor's written permission. Licensor may assign this Agreement as part of a merger, acquisition, reorganization, sale of assets, or transfer of the Software business.

This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in California, except where applicable consumer law requires otherwise.
